What this bill would do
This bill is called the Promotion and Expansion of Private Employee Ownership Act of 2025. It aims to make it easier for companies to set up employee stock ownership plans, often called ESOPs. The bill creates new offices in the government to help businesses and workers understand employee ownership. It also protects small businesses from losing their special small business status just because an ESOP buys a large part of the company. Additionally, the legislation changes tax rules to encourage the sale of employer stock to these employee plans. Ultimately, the bill seeks to grow employee ownership across the country to help workers build retirement savings.

Potential Positive Impacts for People
-
Section 4: This section creates the S Corporation Employee Ownership Assistance Office within the Department of the Treasury. This is positive because it provides direct education, outreach, and technical assistance to help companies set up employee stock ownership plans.
-
Section 5: This section ensures that small businesses do not lose their eligibility for small business loans and preferences simply because an employee stock ownership plan acquires more than 49 percent of the business. This is a positive outcome because it keeps growing companies from being unfairly penalized for making their workers owners.
-
Section 6: This section establishes an Advocate for Employee Ownership within the Department of Labor. This is beneficial for people because the advocate will help resolve disputes with the Department of Labor and provide public education and assistance to workers and employers.
