What this bill would do
The Bank Competition Modernization Act aims to amend several existing banking laws, including the Federal Deposit Insurance Act and the Bank Holding Company Act of 1956. The bill changes how agencies evaluate proposed mergers, acquisitions, and consolidations. Specifically, it targets transactions that would result in an entity with less than $10,000,000,000 in assets. For these smaller entities, the responsible agencies would no longer be required to consider whether the transaction would create a monopoly or lessen competition. The $10,000,000,000 threshold is subject to annual adjustments based on the growth of the United States' nominal gross domestic product.

Potential Positive Impacts for People
-
Streamlined Mergers for Smaller Institutions: Under Section 2(a), the responsible agency would not have to consider if a merger resulting in an entity with less than $10,000,000,000 in assets would result in a monopoly or restrain trade. This applies similarly to Bank Holding Companies in Section 2(b) and Savings and Loan Holding Companies in Section 2(c).
-
Inflation/Growth Adjustments: The bill includes provisions in Section 2(a)(B), Section 2(b)(B), and Section 2(c)(B) that allow for the $10,000,000,000 threshold to be adjusted upward based on the increase in the nominal gross domestic product of the United States.
Potential Negative Impacts for People
- Reduced Competition Oversight: According to Section 2(a)(1)(A), the agency would no longer consider if a merger results in a monopoly or the attempted monopolization of banking. This same restriction on considering monopoly risks or the lessening of competition applies to Bank Holding Companies in Section 2(b)(A) and Savings and Loan Holding Companies in Section 2(c)(A).
