What this amendment would do

As folks who want to keep an eye on our elected officials and make sure things are handled right, we need to know what this proposal is about. Mr. Reed submitted amendment SA 2292 to the bill S. 1582, which is about regulating payment stablecoins.

The purpose of this amendment is to add strict rules regarding changes of control, mergers, and acquisitions for permitted payment stablecoin issuers. It aims to change the bill by making sure that nobody can take over or merge with these stablecoin companies without getting the prior written approval of the primary Federal payment stablecoin regulator first.

Here is what the amendment specifically adds to the bill:

  • Change of Control Rules: Anyone wanting to take control of a stablecoin issuer must submit a detailed written application. The federal regulator has to review who is in charge, look at factors like voting power and stock ownership, and decide whether to approve or deny the request.

  • Mergers and Acquisitions Rules: Companies cannot merge or buy a substantial part of a stablecoin issuer's assets without filing a formal plan and getting the green light from the federal regulator.

  • Public Interest: When the federal regulator decides whether to approve or deny these applications, they are required to take the public interest and the needs and convenience of the public into consideration.
